1. INTRODUCTION

Welcome to Sorgera! These Terms of Service ("Terms") govern your access to and use of the products and services provided by Sorgera Yazılım Teknolojileri Anonim Şirketi ("Sorgera", "we", "us") through the website at sorgera.com ("Website").

By registering an account or using any of our products, you confirm that you have read, understood, and agree to be bound by these Terms, as amended from time to time.

2. DEFINITIONS

"Account" refers to the user account created on the Website to access and use the Service.

"Credits" refers to prepaid usage units purchased by the User to access paid features of the Service.

"Service" refers to all products and features provided by Sorgera via the Website, including the Peppol XML to PDF Converter, KSeF XML to PDF Converter, Peppol XML Validator, KSeF XML Validator, and AI Assistant.

"Sorgera" refers to Sorgera Yazılım Teknolojileri Anonim Şirketi, registered in the Republic of Türkiye.

"Terms" refers to these Terms of Service, including any annexes and policies referenced herein.

"User" or "you" refers to any natural person or legal entity that creates an Account or uses the Service.

"Website" refers to sorgera.com.

3. THE SERVICE

Sorgera provides a cloud-based platform for e-invoicing professionals and businesses. The Service currently includes the following products:

Peppol XML to PDF Converter — converts Peppol-standard XML invoices into professional, watermark-free PDF documents. Supports batch upload of up to 50 files, multi-language output, and download as PDF or ZIP. Accessible via web interface and API.

KSeF XML to PDF Converter — converts KSeF-standard XML invoices (Polish National e-Invoicing System) into professional, watermark-free PDF documents. Supports batch upload of up to 50 files and download as PDF or ZIP. Accessible via web interface and API.

Peppol XML Validator — validates Peppol XML invoices against official schemas with smart error highlighting, XML preview and debugging tools, and batch validation of up to 50 files. Accessible via web interface and API.

KSeF XML Validator — validates KSeF XML invoices against official schemas with smart error highlighting, XML preview and debugging tools, and batch validation of up to 50 files. Accessible via web interface and API.

AI Assistant — AI-powered error analysis and auto-fix suggestions for Peppol and KSeF XML documents. Includes root cause error identification, auto-fix suggestions, ready-to-use XML snippets, and step-by-step resolution guidance.

Sorgera reserves the right to modify, update, or discontinue any feature or product at any time, with reasonable notice where possible.

4. ACCOUNT REGISTRATION

To use the Service, you must create an Account by providing accurate and complete information as requested. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

You represent and warrant that:

you are at least of legal age to enter into these Terms (if a natural person);
you have the legal capacity and authority to agree to these Terms;
all information you provide is accurate, complete, and up to date;
you will promptly update your information if any changes occur.

You must notify Sorgera immediately if you become aware of any unauthorised use of your Account.

5. FREE TIER AND COMPLIMENTARY CREDITS

Registration is completely free — no credit card is required. Upon creating a verified Account, you instantly receive 10 complimentary uses for each premium product.

Every verified Account also includes the following daily evaluation limits:

5 PDF conversions per day
10 XML validations per day

These limits are provided to allow you to test and evaluate the Service before making a purchase. They do not carry over from day to day.

6. PRICING AND PAYMENT

6.1 Pay-As-You-Go Credits

Paid features of the Service are accessed by purchasing Credits. Credits are purchased in advance and deducted upon each use. The following pricing applies:

PDF Converter (Peppol & KSeF)

€35 per 1,000 PDFs (€0.035 per conversion)

XML Validator (Peppol & KSeF)

€15 per 1,000 validations (€0.015 per validation)

AI Assistant

€60 per 200 uses (€0.30 per use)
€200 per 1,000 uses (€0.20 per use)

Credits are valid for 12 to 24 months from the date of purchase. Unused Credits that expire will not be refunded.

6.2 Volume Discount

A 10% discount is available for purchases above 25,000 units of any product. This discount is not applied automatically. To access volume pricing, you must contact Sorgera in advance at info@sorgera.com stating the product and intended volume. Sorgera will confirm the discount and provide instructions for the discounted purchase.

6.3 Enterprise Plans

For large organisations with high-volume or custom requirements, Sorgera offers tailored enterprise plans. Features available under enterprise arrangements may include:

6.4 Pricing Changes

Sorgera may update its pricing at any time. Changes will be communicated via the Website or by email with reasonable advance notice. Purchased Credits are not affected by pricing changes after purchase.

7. TAXES

Prices displayed on the Website are exclusive of any applicable taxes unless otherwise stated. Depending on your location, VAT or other applicable taxes may be added at checkout in accordance with applicable law. You are responsible for any taxes applicable to your purchase in your jurisdiction.

8. REFUNDS

Credits are generally non-refundable once purchased. Sorgera may, at its discretion, issue a refund or Credit adjustment in cases of:

technical errors or duplicate charges caused by Sorgera;
failure to deliver the purchased service due to a fault on Sorgera''s side.

To request a refund, contact info@sorgera.com with details of your purchase and the issue encountered. Sorgera will review requests on a case-by-case basis.

9. ACCEPTABLE USE

You shall use the Service in compliance with these Terms and all applicable laws and regulations. You shall not:

use the Service for any unauthorised purpose;
attempt to gain unauthorised access to any part of the Service or its infrastructure;
upload or transmit any viruses, malware, or malicious code;
reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
resell or sublicense access to the Service without Sorgera''s prior written consent;
use the Service in a way that imposes an unreasonable load on Sorgera''s infrastructure;
use automated tools to access or scrape the Service without Sorgera''s prior written consent.

Sorgera reserves the right to suspend or terminate your Account if you violate this section.

10. INTELLECTUAL PROPERTY

All intellectual property rights in the Service, including its software, design, documentation, and content, are owned by Sorgera or its licensors. Nothing in these Terms transfers any ownership of such rights to you.

Subject to these Terms, Sorgera grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your own internal business purposes during the term of these Terms.

You retain ownership of any XML files or documents you upload to the Service. By uploading content, you grant Sorgera a limited licence to process that content solely for the purpose of providing the Service to you. Sorgera does not use your uploaded documents to train AI models or share them with third parties, except as required to provide the Service or as required by law.

11. CONFIDENTIALITY

Both parties may have access to confidential information of the other in connection with the use of the Service. Each party agrees to keep the other''s confidential information strictly confidential, use it only for the purposes of these Terms, and not disclose it to any third party without prior written consent, except as required by law.

12. DATA PROTECTION

Sorgera processes personal data in connection with the provision of the Service. For full details on how we collect, use, and protect your personal data, please refer to our Privacy Policy available at sorgera.com. By using the Service, you acknowledge and agree to the processing of your personal data as described in the Privacy Policy.

13. AVAILABILITY AND MAINTENANCE

Sorgera will use commercially reasonable efforts to keep the Service available and reliable. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

planned maintenance, which Sorgera will communicate in advance where possible;
emergency or unplanned maintenance required to maintain security or stability;
events beyond Sorgera''s reasonable control.

14. DISCLAIMER OF WARRANTIES

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, Sorgera makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Sorgera does not warrant that the Service will be error-free, uninterrupted, or that the results obtained from use of the Service will be accurate or reliable. The output of the Service — including converted PDFs, validation results, and AI-generated suggestions — is provided for informational purposes. You are responsible for verifying that outputs meet your specific legal, technical, or regulatory requirements.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Sorgera shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of business, or reputational harm, arising out of or in connection with your use of the Service.

Sorgera''s total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount you have paid to Sorgera in the three (3) months preceding the event giving rise to the claim.

These limitations do not apply in cases of Sorgera''s intentional misconduct or gross negligence, or where limitation of liability is not permitted under applicable law.

16. CHANGES TO THESE TERMS

Sorgera reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Website or by email at least thirty (30) calendar days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree with the updated Terms, you may close your Account before the changes take effect.

17. TERM AND TERMINATION

These Terms are effective from the moment you create an Account or begin using the Service and remain in effect until terminated.

You may terminate your Account at any time by closing it through the Account settings or by contacting info@sorgera.com. Unused Credits at the time of termination are non-refundable unless otherwise required by law.

Sorgera may suspend or terminate your Account without prior notice if:

you breach these Terms or applicable laws;
you fail to complete required verification;
there is reasonable suspicion of fraud, misuse, or unauthorised activity; or
Sorgera is required to do so by law or regulatory order.

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — shall remain in effect.

18. GOVERNING LAW AND DISPUTES

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be finally settled by the Istanbul Courts (Anadolu), Republic of Türkiye.

19. GENERAL

If any provision of these Terms is found to be unlawful, void, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.

Sorgera may assign these Terms or any rights and obligations hereunder to an affiliate or successor entity without your consent. You may not assign these Terms without Sorgera''s prior written consent.

Failure by Sorgera to enforce any provision of these Terms shall not constitute a waiver of that provision.
